CONSTITUTION AND BY-LAWS

P R E A M B L E

WE, MEN AND WOMEN OF GOOD WILL AND INTENTION, of good standing in
our respective communities, and residing within the territorial sovereignty of the
Republic of the Philippines, imploring the aid of the Divine Providence in order to
promote and uphold our social, intellectual, moral, economic and general well-being;
protect and uphold our individual and collective rights; strengthen our fraternal ties;
and foster the spirit of unity, brotherhood, justice, righteousness and self-reliance,
do hereby promulgate this Constitution and By-Laws.

ARTICLE I  NAME, SEAL AND DOMICILE

Section 1. The Organization shall be officially known as GUARDIANS PHILIPPINES ANTI-CRIME 
           ORGANIZATION INC.,  or GUARDIANS PHILIPPINES for short, or simply GPI.

Section 2. Every letter of the word “GUARDIANS” has a meaning, as follows:

           G – Gentlemen
           U – United
           A – Associates of our
           R – Race
           D – Dauntless
           I – Ingenious
           A – Advocators of
           N – Nation and
           S – Society

           which, when translated in Pilipino shall mean: “MGA MAGINOO AT NAGKAKAISANG 
           KATUWANG NG LAHING PILIPINO,  MAGIGITING AT MAALAM NA TAGAPAGTANGGOL
           NG BANSA AT LIPUNAN.”

Section 3. Seal. The seal of the GUARDIANS PHILIPPINES shall consist of a stylized, vertically 
           hanging Philippine Flag crowned by an Eagle’s head and spread wings, signifying
           majesty, strength, loftiness of spirit.  Underneath the Eagle is the word GUARDIANS.
           The three stars of the Flag follow on the next line. Astride the three main color divisions
           of the Flag is a white triangle that symbolizes Equality among all Filipinos. Inside the
           triangle is a Sword of Vigilance and Patriotism, at whose handguard hangs the Balance
           of Justice and Fair Play. Embracing the triangle at both sides are green Olive branches
           that manifest an offer of Peace and Prosperity for all humankind. Below the triangle is
           the word Philippines. A yellow ribbon curling upward from the bottom of the Flag
           completes the Seal. On it is written the Organization’s primordial tenet:
           “SERVICE THROUGH STRONG BROTHERHOOD.”

Section 4. The national headquarters of the Organization shall be located at a suitable and
           accessible address in Metro Manila and sub-offices and branches shall be established  
           at appropriate locations where a particular chapter or project has been organized.


ARTICLE II PRINCIPLES AND OBJECTIVES

Section 1. GPI shall adhere to and espouse the following tenets:

           a. Service to country and fellowmen can best be done through strong brotherhood.

           b. The rule of law, reason and universally accepted social values shall take 
               preeminence over selfish interests, personal glory, or brute force.

           c. It shall be both a duty and a right to make a firm stand for a legitimate cause,
               whatever it may cost, for the best interest of country, compatriots, and the
               Organization.

Section 2. The Organization shall pursue the following objectives:

           a. To lend its collective will and strength in support of the needy and the oppressed,
               or those who have generally less in life;

           b. To foster unity, cooperation and understanding among the Filipino people;

           c. To safeguard and work for the social, intellectual, spiritual and material
               advancement of its members;

           d. To harness its collective will and strength in support of institutions bigger  than 
               itself and causes greater than its own, for as long as these shall be for the good
               of the country and the Greater Multitude.


ARTICLE III MEMBERSHIP

Section 1. The following may qualify for membership in GPI:

           a. Any man or woman of any nationality, at least 18 years old, of good moral character,
               of sound mind and body, is gainfully employed or has a lawful means of livelihood,
               and has not been charged of a major or serious crime in a court of law, may qualify
               for membership with the GPI.
            
               Convicted persons may qualify for membership, provided that they have served their
               sentence fully in accordance with the Penal Code and have clearly demonstrated 
               repentance and a desire to be useful members of society once more, and provided 
               that they satisfy all the other qualifications/requirements for membership. Applicable
               rules and procedure shall be drawn up by the GPI national office concerned and
               approved by the National Board. 
   
               Where there is no established presence of a Sectoral Force in a locality, or when an
               applicant does not wish to join a Sectoral  Force, application may be directly with the
               nearest local chapter of GPI, which may grant a probationary membership good for 
               a period of six (6) months, after which the probationary member may either be
               adjudged qualified for full-fledged membership or made to undergo a second and
               final probationary period of another six months;

           b. Uniformed personnel of the AFP, PNP, BFP, BJMP and their active reservists as well as
               active military personnel or active reservists of another country’s armed forces,
               provided that their country is maintaining diplomatic relations with the Government
               of the Republic of the Philippines in accordance with International Law.

           c. Persons exercising Police or Enforcement powers in government or
               quasi-government agencies or in government-owned or controlled corporations
               (NBI, Courts of Law, Bureau of Correctional, Philippine Coast Guard, LTO/DOTC,
               Customs, Philippine Ports Authority, Bureau of Immigration and Deportation, 
               Economic Intelligence and Investigation Bureau, GSIS, Central Bank, Airport Police,
               MMDA, Export Processing / Economic Zones, etc.) shall qualify for membership in
               the ranks of the Magic Group.

Section 2. Application for membership shall be in writing. All applications must be favorably
           endorsed by the concerned chapter, but final approval shall reside on the National
           Executive Office.

Section 3. All full-fledged members must be marked with the GUARDIANS tattoo of
           membership.

Section 4. All members of GPI’s Sectoral Groups, except those who are already full-fledged 
           GUARDIANS, shall be considered candidate GUARDIANS, and shall be accorded with
           the respect due a full-fledged member, including the right to be a member of the
           GUARDIANS PHILIPPINES MULTI PURPOSE COOPERATIVE. They shall also have a
           representation in the GPI National Board of Directors, the General Assembly,
           and the national election in accordance with the provisions of Article X: 
           Election System and Representation.

Section 5. Rights of Members. A member shall have the following rights:

           a. To exercise the right to vote or to be represented in any vote on all matters
                concerning the affairs of the Organization;

           b. To be eligible for an elective or appointive office;

           c. To participate in all meetings/deliberations of the Organization;

           d. To avail of the facilities of the Organization;

           e. To examine all the records or books of the Organization during business hours;

           f. To be part of and benefit from any and all Welfare Programs or Funds that the
                Organization may put up;

           g. To be a shareholder/member of the GUARDIANS PHILIPPINES MULTI PURPOSE
               COOPERATIVE and be entitled to the profits and other benefits therefrom.

Section 6. Duties and Responsibilities of Members. Every member shall have the following
           duties and responsibilities:

           a. To obey and comply with the Constitution and By-Laws and all the rules and
               regulations that the Organization may promulgate from time to time;
           b. To pay membership dues and other assessments;

           c. To speak well of the Organization and contribute to its membership development
               by recommending quality applicants;

          d. To inform the chapter officers or the National Office of any violations of the
              Organization’s By-Laws or rules and regulations which may be detrimental
              to its well-being and reputation;

          e. To inform the chapter officers or the National Office of any observation or news or
              event that might  constitute a threat to the nation and/or the Organization.

Section 7. Honorary Membership may be conferred upon any person for distinguished service
            to country, community, humanity, or to the Organization by a two thirds (2/3) vote of 
            its Board of Directors or a majority vote of a quorum in a General Assembly.

Section 8. Any violation of the constitution and by-Laws, non-compliance with his obligations
            and duties, or any act against the State or established laws shall subject a member 
            to the equivalent sanction as may be meted by his/her chapter, the National Executive
            Office, or the National Tribunal.

           a. Proceedings against a member may be initiated by any member, his/her Chapter,
              the National Executive Office, or the National Tribunal depending on the nature and
              gravity of the offense. Final judgment on grave offenses shall be rendered by the
              National tribunal.

           b. Proceedings against a Chapter may be initiated by another Chapter, the National
              Executive Office, or the National Tribunal itself, which shall render judgment subject
              to appeal only to the General Assembly. Section 9. Principal Sanction. The Guardians
              markings (tattoo) is a gift from the Organization. For grave crimes  against the State,
              the Filipino people, the National Institutions, or the Guardians organization,
              the principal sanction is the removal or obliteration of the erring member’s markings.

Section 10. Extreme Sanction. For committing an unforgivably heinous crime, a member
           shall be treated with extreme prejudice. 
  

ARTICLE IV MEMBERSHIP CLASSIFICATION AND RANKS

Section 1. The members of the Organization shall be classified as follows:

           a. Grand Master Founder (GMF) – There is only one Grand Master Founder. He was
              the prime architect of the precursor organization and has been the prime mover
              of the GUARDIANS through the years. He remains the titular and ceremonial head
              of GUARDIANS Philippines (A.C.O) Inc.

           b. International Chairman (IC) – There shall be only one International Chairman at 
              any one time, to be acknowledged and accorded due respect as chief executive
              officer of GUARDIANS INTERNATIONAL INC. (GII), the umbrella organization of all
              national branches including GPI, special groups, legion chapters, and allied sectoral
              organizations. He shall symbolize and represent the consolidation of all GUARDIANS
              organizations under the banner of GII.

           c. Master Founder Triumvirate – Refers to the first three (3) commissioned officers to
               join the Diablo Squad, precursor of the GUARDIANS.

           d. Pioneer Master Founders (PMF) – These are the 10 other visionaries who composed
               the original Diablo Squad together with the Grand Master Founder.

           e. Pioneers – Refers to the 13 military personnel who made up the second batch of 
               Diablo. They also called themselves the “Dirty Dozen”.

            f. Prime Ranking Magic Group (PRMG) and Prime Godfather/Godmother
               (PGF/PGM)- The highest rank attainable by a Ranking Magic Group (RMG) or a
               Godfather/Godmother (GF/GM), provided that the nimum qualifications for an IRMG
               rank shall have been met earlier and, provided further, that Godfathers or
               Godmothers are retired from active service and thus have no more chance of
               promotion to commissioned officer status. Awarding of the PRIME promotion shall
               be held every two years to coincide with the National Convention. Because the
               National Promotion Board shall consider other factors including the unwritten,
               promotion to PRIME shall be highly selective.

           g. Founder (F) – Composed of senior members of the Organization coming from the
              ranks of Ranking MAGIC Group (RMG) Supreme Godfather (GF) / Godmother (GM) 
              with at least three (3) years of active membership of good standing and who must
              have established or organized at least one (1) local chapter. He stands as the
              symbolic head of the local chapter and shall supervise all initiation rites and
              marking in the chapter.The classification “FOUNDER” does not constitute a rank, 
              but rather an accomplish-ment.The traditional “Pagmamano” is accorded to
              him/her on account of his/her actual rank such as PRMG, SGF/SGM, or IRMG,
              or for another reason such as military rank, position in GPI, kinship, or age.

           h. Supreme Godfather (SGF) Or Supreme Godmother (SGM)- Composed of 
              Commissioned officers or those who have attained commissioned officer status in
              the ranks of the AFP, PNP, BFP and BJMP.

           i. Illustrious Ranking Magic Group (IRMG) – May be conferred on a member or
              officer who has the capability to serve as adviser or consultant to a local, municipal,
              provincial or regional chapter, provided that he / she holds a bachelor’s or
              master’s degree and has at least three years of active membership with GPI.
              Transcript of records and other documentary proofs of educational
              attainment will be required of a nominee. Conferment of the IRMG rank shall
              be done only once a year.  It shall constitute a requisite for the higher rank of PRMG.

           j. Ranking MAGIC Group (RMG)- Composed of selected civilian members who must be
              Bachelor’s Degree holders (A college degree earned while being an active member
              in the Magic Group (MG) ranks ), professionals who have been elected to 
              government office, or respected leaders of the community who have rendered
              exemplary performance and with at least one (1) year active membership in the
              ranks of the Magic Group (MG). 
           k. Godfather (GF) or Godmother (GM) – Composed of ranking non- commissioned
              officers of the AFP, PNP, BPF, BJMP, including acting reservists, with an equivalent
              rank of Duty Sergeant to Master Sergeant, or those who have been duly elevated 
              from the General Organic with at least one (1) year of active membership. For 
              promotion from General Organic (single-letter mark) to Godfather / Godmother 
              (GF/GM), the Organic member must have recruited at least 12 members
              either for the Magic or the Organic ranks.

           l. MAGIC Group (MG)- Composed of civilian members with an educational
              attainment of at least high school education, or those possessing special skills
              who are willing to render service to the Organization. The word “MAGIC” is an
              acronym which stands for:
              M – Magistrate 
              A – Advocate 
              G – Grievances 
               I – Impotent 
              C – Citizens 
              which when used as a phrase reads: “Magistrate Advocate of Grievances of Impotent
              Citizens,” and when translated in Pilipino shall mean: MGA MAHISTRADONG
              TAGAPAGTANGGOL NG MGA INAAPI AT MAHIHINANG MAMAMAYAN.”

          m. Basic Organic – A member coming from the rank-and-file of the AFP, PNP, BFP
               and BJMP, including active reservists, who carries the applicable single-letter 
               marking as prescribed in Section 3 of this Article.

Section 2. Promotion, upgrading or change in Classification to the ranks of PRMG, Founder,
           IRMG, and SGF/SGM shall be subject to approval of the NEXO as recommended 
           by the National Promotion Board. All nominations must originate from the nominee’s
           local chapter of affiliation via a unanimous vote of its Board and must be endorsed
           by the National Vice President of the Island Group (Luzon, Visayas, Mindanao ).
           Promotion to RMG or GF/GM shall originate from the local chapter’s Board and
           approved by the Regional President.

Section 3. Markings of Members - All full-fledged members must undergo marking or
           tattooing not for decorative purposes but to signify their lifelong and total commitment
           to the Organization and what it stands for. It symbolizes both privileges and
           responsibilities, aside from serving as an identifying mark. It also serves the 
           purpose of discouraging those who are not ready to give their full dedication
           and sincerity to the Organization.
           a. General Markings:

               MG - represents the MAGIC Group
               B    - (Blue) Army and Reservists
               A    - (Air) Air Force and Reservists
               N    - (Navy) Navy and Reservists
               G    - (Gold) PNP, BFP, BJMP
               M    - (Maroon) Marines and Reservists
               R    - (Red) the defunct Constabulary
               W   - (White) defunct Composite Btn.

           b. Special Markings:

                GMF       - Grand Master Founder
                MF         - Master Founder
                F            - Founder
                PRMG     - Prime Ranking MAGIC Group
                SGF/SGM - Supremo/Suprema (Supreme Godfather/ Godmother)
                PGF/PGM - Prime Godfather / Prime Godmother
                IRMG       - Illustrious Ranking MAGIC Group
                RMG        - Ranking MAGIC Group
                GF/GM     - Godfather / Godmother
                NP           - Exclusive overmark for a National President

           c. All members shall be correspondingly marked with a tattoo on the superior area 
              between the thumb and forefinger of the right hand with letters denoting the above
              ranks.

           d. For identification of the member’s area of origin or membership, the letter
              marking GL (for Luzon), GV (for Visayas), or GM (for Mindanao ) shall be marked
              on the superior area between the thumb and forefinger of the left hand. However,
              incoming members have the option to be marked on the same spot with the letters 
              GPI, instead of GL, GV, or GM. Those already with GL, GV, or GM markings may opt 
              to revise such mark into GPI if doable, or add GPI either above or underneath their 
              existing mark if it is the practicable solution.

          e. Markings forming a triangle shall be put on the lateral extremity of the upper right 
              arm just below the shoulder. The word GUARDIANS shall form the two sides of the 
              triangle, with the letter “D” at the apex. The member’s pseudonym shall form the 
              base side of the triangle. Inside shall be marked the letters GPI, and the year the
              marking was made shall be tattooed over the triangle.

           f. Members based in a foreign country, regardless of nationality, may opt to be 
             marked so as to correspond to their country of residence or marking, both on the
             left hand and on the upper right arm. Example: GPI-I (for Italy-based);
             GPI-G ( Germany ); GPI-J ( Japan ); GPI-SA ( Saudi Arabia ); GPI-A (USA);
             GPI-H (Hongkong); and so on.

Section 4. Markings for Change of Status – Additional markings for promotion in rank shall be 
           put in line with the original on the right hand except that of the National President (NP),
           Prime (P), Illustrious (I), or Founder (F) which shall be placed over the original mark,
           so as to limit to three (3) digits the regular rank marking.A founder who may qualify
           for PRIME shall have the option to either  retain the “F” marking or convert it to “P”.
           In any case his/her name shall be entered in the roster of PRIMES when so qualified
           by the National Promotion Board and approved by the National Tribunal.

Section 5. Markings of Transferees – The initials “GPI” must be added to the existing tattoo
           of a transferee from another branch/wing of GUARDIANS. More thatn just establishing
           his/her new affiliation, this shall determine if the transferee is sincere in wanting to
            join or rejoin GPI.

Section 6. Handshakes and Embrace - The handshake and embrace done in the distinct
           GUARDIANS way signify respect, love, unity, solidarity and concern for one another.

Section 7. The “Mano” as Respect – To show respect for higher rank, position or status,
           GUARDIANS do the traditional “pagmamano” which entails bringing the hand of the
           recipient to touch the subordinate’s forehead. This “mano” immediately follows the
           embrace in the handshake-embrace-handshake sequence.

Section 8. Pseudonym - When one is admitted as a full-fledged member of the Organization,
           he/she shall assume a pseudonym—other than his/her real name, surname or
           nickname - by which he/she shall thence be known and addressed by fellow
           GUARDIANS.

          a. No pseudonym shall be allowed that tends to create divisiveness, is inimical to the
              person, the Organization or the country, or is patently lewd, obscene or anti-social;

          b. As much as possible, no pseudonym shall be a duplication of a
              known-to-be-existing pseudonym;

          c. The concerned member shall have the prime option in the choice of pseudonym. 
              If he has none, the highest ranking member in the marking session shall propose a
              pseudonym, subject to the member’s acceptance.

Section 9. Equality among members. In the Organization, there shall be no obstacle to an
           open, free and honest interaction among members. Within the Organization, or in
           strictly GUARDIANS affairs, the members shall disregard military or police rank and
           civilian distinctions of office, profession, occupation, economic clout or social standing.
           However, in order to maintain decorum and a sense of hierarchy GUARDIANS-wise,
           the classification of members shall be regarded accordingly.

Section 10. All bonafide members must sign an Oath of Allegiance or “Panunumpa.”

Section 11. All bonafide members shall be given a “Certificate of Honor” certifying to their
           legitimate membership in the GUARDIANS PHILIPPINES INC., signed by the incumbent
           Chapter President and attested to by the National President.

Section 12. A Code of Conduct and Ethical Standards, a Manual of Recruitment, Initiation
           and Marking, and other guide literature shall be prepared for the members’ ready
           reference.


ARTICLE V ORGANIZATIONAL SET-UP

Section 1. The basic unit of the Organization shall be the Local Chapter, which shall be on the 
           Barangay Level.

Section 2. All local chapters in a subject area shall constitute the City or Municipal Chapter.

Section 3. All city and municipal chapters in a province shall constitute the Provincial Chapter.

Section 4. All provincial chapters in a region shall constitute the Regional Chapter.

Section 5. To become legitimate and be entered in the roster of GPI chapters, every GPI 
           chapter, whether Local,  City or Municipal, Provincial or Regional must seek Official
           Chapter Recognition issued by the  GPI National Executive Office.

Section 6. The National Sectoral Forces shall be an integral corporate member of the national
           organization of GPI.
           Acknowledged as Sectoral Forces as of 2004 are:
           a. Mike Delta Force (MDF)
           b. Back-up Force (BUF)
           c. Criss-Cross Force (CCF-MASAI)
           d. GPI Action Force (GPIAF)
           e. Special Intel Gathering Monitoring Action (SIGMA)
           f. Guardians Women Force (GWF)
           g. Jesus Force (JF)
           h. Future Guardians Force (FGF)
           i. Libra Citizens Intel Network (LCIN)
           j. Crime Watch Force (CWF)

           Official recognition for new Sectoral Forces shall be by authority of the National
           Chairman / President  with the concurrence of the National Commission and the
           National Tribunal.

Section 7. The National Council. This body shall be a consultative committee which shall
           be a consensus-generating  mechanism which will aid the National Board in making
           policy decisions. It shall be composed of the followings:
           a. A majority of the National Board
           b. A majority of all National Secretaries
           c. All Commissioners
           d. All Tribunes
           e. A majority of National Force Commanders
           f. A majority of Regional Presidents
           g. As may be invited by the National Chairman / President, whether GUARDIANS
              or non-GUARDIANS.

Section 8. National Board of Directors - Governing power and management prerogative
           shall be vested upon a National Board of Directors which shall be composed of:
           a. National Chairman / President
           b. National Exec. Vice President—Administration
           c. National Exec. Vice President—Operations
           d. National Commissioner
           e. National Tribune
           f. National Secretary-General
           g. National Vice President, Luzon Island Group
           h. National Vice President, Visayas Island Group
            i. National Vice President, Mindanao Island Group
           j. Sectoral Forces’ Representative

Section 9. General Assembly - Supreme authority in the determination of programs and
           policies as well as  the ultimate interpretation of the By-Laws shall be vested upon
           the General Assembly, which shall convene every two (2) years during the National 
           Convention. The Grand Master Founder shall be ex-officio Chairman of the General
           Assembly.

Section 10. National Organizational Structure - The national organization of GUARDIANS
           PHILIPPINES (A.C.O.) INC. shall function along three (3) main divisions, namely:
           a. The National Executive Office or NEXO, which shall be the executive branch.

           b. The National Commission or NC, which shall be the legislative branch.

           c. The National Tribunal or NT, which shall be the judicial branch.


ARTICLE VI NATIONAL EXECUTIVE OFFICE (NEXO)

Section 1. The National Executive Office shall be composed of the following positions:
           - National President
           - National Exec. VP – Administration
           - National Exec. VP – Operations
           - National Vice President, Luzon Island Group
           - National Vice President, Visayas Island Group

Section 2. The National Chairman / President, National Exec. Vice President-Administration,  
           and National Exec.  vice President-Operations, and the National Vice Presidents for
           Luzon , Visayas and Mindanao Island  Groups shall be elected by the General Assembly
           for a term of two (2) years subject to reelection.

Section 3. The National Secretary-General and the nine (9) National Secretaries shall be 
           appointed by  the National President.

Section 4. The National Exec. Vice President-Administration shall be concurrent Vice Chairman 
           of the National Board..

Section 5. The National Exec. Vice President-Operations shall assist the National President on
           all operational matters.

Section 6. The National Secretary-General shall be the general secretary of the NEXO, the
           National Board, and the National Council and shall be the head of the National
           Secretariat. He shall record all meetings of the National Board and prepare the annual
           report to the General Assembly, subject to the  directions and approval of the National
           Chairman/President. He shall be the principal custodian of corporate documents and 
           instruments, including the official dry seal of the Organization. He shall take care of 
           issuing notices of Board meetings and the preparation of official communications from 
           the NEXO and the Board. The National President may appoint a Deputy National
           Secretary-General as may be recommended by the National Secretary-General.

Section 7. The National Secretary for Finance, functioning as National Treasurer, shall be the
           principal signatory for all checks and other financial instruments and transactions.

Section 8. No member, who is currently holding an elective office in Government, shall be
           elected or appointed to any national position in the NEXO, except where the National
           President may appoint him/her as adviser for a special project or task.

Section 9. All officers in the NEXO may each appoint, with the National President’s approval, 
           an Executive Assistant. However, the Executive Assistants shall not be considered as 
           national officers, nor have a vote in the national election. They shall be considered as
           understudies for purposes of executive development.

Section 10. The National President shall be entitled to a monthly expense allowance of
           P25,000.00 or as may be set yearly by the National Board.

ARTICLE VII THE NATIONAL COMMISSION (NC)

Section 1. There shall be constituted a National Commission which shall be composed of past 
           national officers, past elective government officials, and national force commanders of
           Sectoral Forces. The National Commission shall be composed of the:
           - National Commissioner
           - Deputy National Commissioner
           - Commissioner for By-Laws Amendments
           - Commissioner for Financial Policy
           - Commissioner for Health, Sports and Civic Affairs
           - Commissioner for Project Development
           - Commissioner for Training, Education and Extension Services
           - Commission Secretary

Section 2. Members of the National Commission must be at least a Ranking Magic Group (RMG)
           or Godfather / Godmother (GF/GM) with at least three (3) years of membership in GPI
           or has been at least a Chapter President.

Section 3. The National Commissioner shall be elected by the National Assembly for a two-year
           term subject to reelection. All the other members of the Commission shall be appointed
           by the National Commissioner with the concurrence of the National Chairman/President.

Section 4. The National Commission, acting as the Organization’s legislative body, shall 
           perform the following functions among others:
           a. Prepare and periodically update for Board and General Assembly approval such 
              Codes and Manuals as: Code of Conduct and Ethical Standards, Manual for
              Recruitment, Initiation & Marking; Duties and Responsibilities of Officers and
              Functionaries etc.;

          b. Propose amendments to the By-Laws, rules and regulations, codes, and manuals,
              and official forms;

          c. Keep track or monitor compliance with the By-Laws, rules and regulations, codes,
              and manuals by officers and members alike;

          d. Publish GPI’s official newsletter.

Section 5. The National Commission shall maintain a special bank account with the depository
           bank of GPI National and shall be entitled to a 5% share of the National Annual Dues 
           for its operational needs. The National President shall exercise oversight function over
           the account.

Section 6. The five Commissioners may each appoint an Executive Assistant, who shall not be
            considered national officers nor have a vote in the national election. They shall be
            considered understudies for purposes of executive development.

Section 7 The National Commission shall meet at least once every month, with the National
           President and the two National Exec. Vice Presidents as ex-officio members.


ARTICLE VIII THE NATIONAL TRIBUNAL (NT)

Section 1. There shall be constituted a National Tribunal (NT) which shall be composed of:

           - National Tribune
           - Deputy National Tribune
           - Chief of Staff
           - Tribune for Electoral Division
           - Tribune for Ranking & Promotion Division
           - Tribune for Administrative Division
           - Tribune for Civil Division
           - Tribune for Criminal Division

Section 2. Founders, Supremos/Supremas, PRMGs, and incumbent elective government officials
           who are degree-holders qualify as members of the Tribunal.

Section 3. The National Tribune shall be appointed by the National Chairman/President. All the
           other members shall be appointed by the National Tribune with the National
           President’s concurrence.
Section 4. As the Organization’s judicial body, the National Tribunal shall sit-en-banc or
           divisional-in judgment over cases, issues or concerns brought to it or motu propio
           concerning the following:
 
           a. Possible expulsion of officers or members;

           b. Possible cancellation of a Chapter’s recognition as a GUARDIANS PHILIPPINES
              chapter;

           c. Issues or cases which the National Executive Office may fail to resolve or which are 
              appealed to the National Tribunal after judgment by the NEXO;

          d. Electoral questions and cases;

          e. Non-compliance with or utter disregard of the provisions of the By-laws, acts against 
             the State, and unauthorized action or pronouncements that put the Organization in
             an untenable situation.

Section 5. The National Tribunal shall meet en-banc at least once every three (3) months.
           Divisions to which specific cases or issues have been assigned shall meet as often as
           necessary to settle cases as quickly as possible.

Section 6. Members of the Tribunal may each appoint an Executive Assistant who must be at
           least an RMG, to help the Tribunes in studying cases on hand.
Section 7. The National Tribunal shall maintain a special bank account with the depository
           bank of GPI National and shall be entitled to a 3% share of the National Annual Dues
           for its operational needs. The National Chairman/President shall exercise oversight
           function over the account.

ARTICLE IX QUALIFICATION OF ELECTIVE OFFICERS

Section 1. Election for the National Chairman / President, National Commissioner, National
           Exec. Vice Presidents and National Vice Presidents for Luzon, Visayas and Mindanao
           island groups shall be held during the General Assembly which shall be held every two
           (2) years on the second Saturday of November.

Section 2. Election for the Local, City / Municipal, Provincial, and Regional Chapters shall be 
           held yearly no later than the end of October.

Section 3. Candidates for National Chairman / President must have been a National Exec. Vice
           President, National Commissioner, or National Tribune, provided that a National
           Tribune has retired from active service.

Section 4. Candidates for National Exec.. Vice President must have been an Island Group
           National Vice President, National Secretary-General, or Sectoral Force Commander.

Section 5. Candidates for National Commissioner must be a degree-holder and must have
           been at least a Sectoral Force National Commander, Regional President, Commissioner,
           or Tribune, provided that the Tribune has retired from active service.

Section 6. Candidates for Island Group National Vice President must have been a Regional
           President, a National Secretary, a Commissioner, or Tribune, provided that the Tribune
           has retired from active service.

Section 7. A Regional Chapter President must be an incumbent Provincial Chapter President.

Section 8. A Provincial Chapter President must be an incumbent City or Municipal Chapter
           President.

Section 9. A City or Municipal Chapter President must be an incumbent Local Chapter President.

Section 10. Unless the chapter is newly organized, the Local Chapter President must have been 
           a member in good standing for at least two (2) years.


ARTICLE X ELECTION SYSTEM AND REPRESENTATION

Section 1. The election for national officers shall be held as the principal business of the
           General Assembly during the National Convention. Voting shall be viva voce thru a roll
           call of the designated voting representative of each chapter and all others entitled to
           vote.

Section 2. Entitled to one (1) vote each are the:

           - National Chairman / President
           - National Exec. Vice President
           - National Secretaries
           - Commissioners
           - Tribunes
           - Founders Triumvirate
           - PRMGs and PGFs / PGMs
           - IRMGs
           - Supremos / Supremas
           - National Vice President
           - Regional President / Representative
           - Provincial President / Rep.
           - City / Municipal President / Rep.
           - Local Chapter President / Rep.
           - National Force Commanders
           - Grand Master Founder (to break tie)

Section 3. Candidates for national office shall file their Certificates of Candidacy with the
           Electoral Tribunal no later than five (5) working days before the National Convention.

Section 4. The names of designated or entitled voters must be submitted to the Electoral
           Tribunal at least 72 hours before election time. No proxy vote shall be allowed after
            the entitled or designated name has been submitted. In case a member holds two
            positions that both entitle him to vote, the vote for the lower position shall be asigned 
            to the next-in-rank.

Section 5. The National Executive Office shall determine the status of designated or entitled
           voter and candidate and submit the findings to the Electoral Tribunal. In case of any
           disqualification, the Electoral Tribunal shall inform the concerned member accordingly
           no late than 48 hours before election, in order for a legitimate replacement (in case
           of a candidate, not a voter) to be nominated and qualified.

Section 6. Regional Presidents shall vote for their respective Island Group National Vice
           Presidents (Luzon, Visayas, Mindanao ) from among those who have filed their
           candidacy, or from among themselves in consensus during the National Convention
           even without a certificate of candidacy.

Section 7. Regional, Provincial, City / Municipal or Local Chapter officers who may be
           elected or appointed to a national office shall relinquish their chapter positions to the
           next in line if the demands of the National office would affect adversely their
           performance at the lower level.

Section 8. The term of office of all GPI officers at all levels, with the exception of National
           officers, shall be one (1) year subject to reelection.

ARTICLE XI NATIONAL SECTORAL FORCES

Section 1. The National Sectoral Groups identified in Section 6 Article V and those which
           may be duly organized and accredited by GPI in the future shall be responsible
           for their respective organizational set-up and fiscal policies.

Section 2. Past and incumbent National Force Commanders are qualified to be elected or
           appointed to national office in the GPI, subject to the provisions of Article X, provided
           that they are already full-fledged GUARDIANS for the last three (3) years. Graduating
           into full-fledged GUARDIANS shall not mean delisting from the roster of the Sectoral
           Force.

Section 3. National Force Commanders shall elect from among themselves a Sectoral Forces
           Representative who will sit in the GPI National Board of Directors for a one-year term
           without reelection.

Section 4. The National Executive Office shall, with the concurrence of the National Commission,
           adopt a set of guidelines in organizing and absorbing a sectoral force into the GPI
           organization.

Section 5. The name given to and used by a new Sectoral Force shall remain the property of
           GPI, which shall have the absolute right to lend and/or withdraw the privilege of using
           the subject name An agreement to this effect shall be entered into by the charter
           officers of the new sectoral force and the GPI National President. Any sectoral force
           that decides to secede or break away from the GPI umbrella shall perforce refrain
           from using the name lent to it by GPI.

Section 6. Compliance by the sectoral forces with the GPI By-Laws and applicable rules and
           regulations shall be subject to an annual review by the NEXO in coordination with the
           National Tribunal. The NEXO by official act of the National President may rebuke,
           reprimand or otherwise sanction any sectoral force as a result of the annual review.
           Any appeal may be made only to the General Assembly at the next National
           Convention.Any such sanction as may be decreed shall specify whether it applies only
           to the sectoral force as a corporate entity or likewise to the individual members
           whether or not they are full-fledged GPI members.


ARTICLE XII CHAPTERS’ ORGANIZATION

Section 1. The organizational structure, nomenclature and operation of local, city/municipal,
           provincial and regional chapters shall be patterned after that of the national 
           organization, subject to the chapter’s particular needs and situation, and as far as
           membership strength and other resources shall allow.

Section 2. Upon ratification of this Constitution and By-Laws, all the various chapters shall work
           to align their operational practices with the By-Laws provisions.

Section 3. As provided for in Section 4 of Article VII a number of codes and manuals to be
           prepared shall guide all organizational units as far as their particular situation shall 
           allow.

ARTICLE XIII FEES, DUES AND STATUTORY ALLOCATIONS

Section 1. The one-time Membership Fee shall be P150.00 or as may be set hereafter by the
           National Board. Chapters wishing to charge a higher Membership Fee must secure 
           approval from the NEXO.

Section 2. The Membership Fee shall immediately be remitted to the National Executive Office,
           along with the new member’s Annual National Dues of P100.00. Part of the
           Membership Fee shall cover the cost of the Membership Identification Card as 
           well as filing and rostering costs.

Section 3. The Annual National Dues for every full-fledged member shall be P 100.00 or as
           may be set hereafter by the National Board, and which shall be remitted by the
           member’s chapter of affiliation no later than the end of June every year.

Section 4. Every Chapter’s Board of Directors shall determine the amount to be charged
           each of the chapter’s members as monthly dues as well as for meeting or operational
           expenses.

Section 5. Special assessments on each member for valid purposes such as meetings, 
           initiations, markings, special events, shall be approved by the Chapter’s Board
           but must be reasonable and affordable to the majority of the chapter’s members.
           While special assessments may be voluntary, repeated non-compliance by a member
           may translate into demerits during evaluation of individual standing.

Section 6. Each National Sectoral Force shall remit an Annual Dues of P 1,000.00 to the NEXO, z
           regardless of membership strength or years in existence, no later than the end of June 
           every year.

Section 7. Failure of any member to pay his/her Annual Dues within the year shall constitute a 
           valid ground for suspension of membership and all the privileges and benefits accruing
           thereto.. Suspension may be lifted only upon settlement of all arrears and upon
           approval by the NEXO.

Section 8. Non-remittance of National’s share of Membership Fee or Annual Dues shall
           constitute valid ground for disciplinary action against a Local Chapter or Sectoral Force,
           including but not limited to forfeiture of rights to be voted upon or appointed to higher
           office.

Section 9. The Annual National Dues of all the members and sectoral forces shall constitute the 
           major portion of the National Fund. Of this, allocations shall be credited and
           automatically transferred to special accounts, with the National President exercising
           oversight function, as follows:
           - 5% to the GPI National Commission Fund
           - 3% to the GPI National Tribunal Fund
           - 3% to the GPI Awards & Recognition Fund, administered by the two NEVPs and the
              National Secretary-General
           - The amount of P25,000.00 every month, or as may be set by the National Board
              from time to time, to the National President as expense allowance
           - The amount of P15,000.00 every month, or as may be set by the National Board
              from time to time, for the rental, facilitites, and maintenance requirements of a
              national Headquarters.


ARTICLE XIV WELFARE PROGRAMS FOR MEMBERS

Section 1. GUARDIANS PHILIPPINES MULTI-PURPOSE COOPERATIVE INC. (GPMPCI) shall 
           endeavor to enlist all the members as shareholders, in order that they may share in
           the livelihood opportunities, dividends and other benefits derived from the
           Cooperative movement.

Section 2. The organization shall maintain a Mortuary Fund in the form of a Group Insurance
           coverage. Membership shall be mandatory for all full-fledged members, who shall
           contribute a modest annual premium of P 150.00 or thereabouts.

Section 3. The Organization shall strive to put up other Welfare Programs and Funds, including 
           health care and hospitalization packages, as well as an Emergency Loan Fund when
           the Organization’s and the Cooperative’s finances shall allow it.


ARTICLE XV NATIONAL CONVENTION & FISCAL YEAR

Section 1. The Organization’s National Convention shall be held every two (2) years on the
           second Saturday of November. Venue shall rotate among Mindanao, Visayas and
           Luzon , unless a force majeur or a majority opinion shall necessitate a deviation from
           this cycle.

Section 2. An Organizing Committee to be constituted by the National President for the
           National Convention shall decide on the venue, program, fees, arrangements and
           related activities.

Section 3. There shall be, in every National Convention, a Place of Honor for the Grand Master
           Founder, the International Chairman of GUARDIANS International Inc., the Master
           Founder Triumvirate, and the Pioneer Master Founders. At every National Convention,
           a number of the most senior national officers shall be inducted to the GPI Council of
           Elders to continually complete the total of 14, which represents the original Diablo
           Squad plus the Triumvirate, in order to compensate for those who will have passed
           away.

Section 4. Fiscal Year of GPI shall be the Calendar Year, beginning on the first day of January
           and ending on the last day of December.


ARTICLE XVI BUSINESS CONFERENCES

Section 1. There shall be an annual 1-day Area Business Conference for each of the Luzon,
           Visayas, Mindanao island groups within the month of May starting in year 2005.

           a. Participants shall be chapter Presidents, Founders and Secretaries-General, with
               the Island Group National Vice President presiding.

           b. The Business Conference shall have the following agenda:
               - At least one (1) seminar
               - Membership growth
               - Problems and Solutions
               - Financial Matters
               - Issues of National Concern
           c. Membership Roster Documentation
           d. Record of proceedings to be submitted to the National Secretary-General

Section 2. There shall be an annual 1-day National Business Conference to be held in Manila
           or as may be set by consensus within the month of July starting in the year 2005.

           a. Participants shall be the island group officers – a maximum of five (5) delegates
               from each of Mindanao, Luzon and Visayas – plus National officers and the National
               Force Commanders.
           b. The National Conference agenda shall be:
               - National President’s Report
               - National Treasurer’s Report
               - Island Group Conference Reports
               - New Appointments
               - National-scope Developments
               - National Convention
               - Executive Orders


ARTICLE XVII GUARDIANS INTERNATIONAL INC.

Section 1. GUARDIANS Philippines Anti-Crime Organization Inc. fully recognizes the legitimacy 
           and ascendancy of GUARDIANS INTERNATIONAL INC. as the unifying umbrella
           organization of all GUARDIANS national branches, foreign legion chapters, and special
           groups.

Section 2. GPI reserves the right, however, to maintain that it is one of only four (4) originating
           national branches of the GUARDIANS organization, and that it shall accord only 
           “courtesy recognition” to all other supposed “national branches”.

Section 3. When a conflict in policy, stand, program, activity or schedule arises between GPI
           and GII which has a direct bearing on the interest and well-being of GPI or its general
           membership, that of GPI shall prevail. National Board consensus shall govern GPI’s
            position in such cases.

Section 4. Appointments by GII from the ranks of GPI shall be coursed through GPI’s National
           Board which shall accordingly approve, reject, or otherwise recommend a replacement
           for such propective appointees.


ARTICLE XVIII OFFICIAL PUBLICATION

Section 1. GPI shall publish its own official newsletter as often in a year as logistics, resources 
           and the Staff’s time will allow.

Section 2. Publishing unit shall be the National Commission and the National Commissioner
           shall automatically assume the position of Editor General and shall appoint the 
           members of the publication Staff.

Section 3. The publication Staff shall draw up its publication funding plan, without prejudice 
           to its partaking of net proceeds as compensation for their time, talent and effort.


ARTICLE XIX AMENDATORY PROVISION

Section 1. This Constitution & By-Laws may be amended by the National Board of Directors 
           with a two-thirds (2/3) vote.

Section 2. Amendments adopted by the National Board shall be enforceable in the interim
           period but shall be subject to ratification, amendment or rejection by the General 
           Assembly voting by chapter representatives (President or designated representative
           plus chapter Founder) at the biennial National Convention.


ARTICLE XX EFFECTIVITY

APPROVED, SIGNED AND ADOPTED in November 2002 in Los Baņos, Laguna , Philippines ;

AMENDED in November 2004 in Marikina City , Philippines ;

AMENDED on November 12, 2006 in Quezon City , Philippines for this 2006 Edition.
